ANGEVO Partner Terms

Version 1.1 — 30 September 2026

Angevo BV — Excelsiorlaan 25, 1930 Zaventem (Belgium) — CBE 1032.536.987 — VAT BE 1032.536.987 — contact@angevo.com

Preamble

Angevo BV (“Angevo”) operates a digital platform enabling private individuals to book maintenance and restoration services for glazed surfaces, profiles and similar elements, performed by independent professionals.

Angevo offers professional companies, in particular installers and exterior joinery companies, a programme enabling them to fund ANGEVO Vouchers for the benefit of their own customers.

These Partner Terms govern exclusively the relationship between Angevo and the Partner. They are intended solely for professionals acting in the course of their business.

Title I — Framework of the relationship

Article 1. Definitions

  • ANGEVO Partner (“the Partner”): a professional company, in particular an installer or an exterior joinery company, admitted by Angevo to the Partner programme and authorised to fund ANGEVO Vouchers.
  • ANGEVO Provider: an independent professional validated by Angevo who accepts and performs the services on site. The Partner is not a Provider.
  • ANGEVO Voucher (“the Voucher”): a voucher with a value expressed including all taxes, funded by the Partner, created by it directly for a specific beneficiary, embodied in a unique single-use code and usable on a single Order. The Voucher may be delivered by e-mail or in its printable version; in both cases, it is the same Voucher, with the same code.
  • Beneficiary: the natural person designated by the Partner when creating the Voucher.
  • Printable version of the Voucher: the presentation of the ANGEVO Voucher that the Partner itself may download, print and hand over to the beneficiary. It does not constitute a document or instrument separate from the Voucher.
  • Partner Portal: the online area made available to the Partner by Angevo to manage its account, create and pay for its Vouchers, deliver them and track their status.
  • Account manager: the natural person whom the Partner has authorised to use its account in the Partner Portal and to act on its behalf in that context.
  • Order: a single validation made on the Platform by the person using the Voucher, which may include one or more services and gives rise to a total price and to a single payment or application.
  • Platform: the app and the website published by Angevo.
  • Customer Terms: the Terms of Use and the Terms of Sale applicable to customers of the Platform.

Article 2. Purpose and applicable documents

These Terms govern the admission of the Partner, its account, the creation, payment, delivery and follow-up of Vouchers, the use of the Angevo brand, and the duration and end of the relationship.

The use of the Voucher on the Platform, its linking, its validity, its application to an Order, its possible return to Available status and its expiry are governed by the Customer Terms. These Terms only reproduce the elements thereof that are relevant to the Partner and do not amend them.

In the event of any discrepancy concerning the use of the Voucher on the Platform, the Customer Terms prevail.

Article 3. Registration, validation and commencement

Access to the programme requires the creation of an account in the Partner Portal. On registration, the Partner provides the company's identification details, in particular its name, its address and its VAT number, which is mandatory, as well as the information relating to the account manager provided for in Article 3 bis.

The account is placed on hold pending validation. Angevo verifies the information provided, in particular the VAT number. Where the automatic verification is negative, ambiguous or unavailable, a manual check is carried out; this result does not in itself lead to an automatic refusal. The account is activated only after manual validation by Angevo.

Admission is at Angevo's discretion. The Partner has no automatic right to be admitted and Angevo is not required to give reasons for a refusal.

Once the account has been activated, the Partner creates and orders its Vouchers independently, without prior validation of each order by Angevo, subject to Articles 7, 9 and 27.

The partnership takes effect once the account has been activated by Angevo and the Partner has accepted these Terms. For each acceptance, Angevo keeps the identifier of the accepted version, the language and the date and time of acceptance.

Article 3 bis. Partner account

Each company has a single main account. The account is used by an account manager, whom the company has authorised for this purpose and who is not necessarily its legal representative. On registration, the Partner provides the first name, surname, position, professional e-mail address, telephone number and language of communication of the account manager. The account manager confirms that they are authorised to act on behalf of the company in connection with the Partner programme.

The Partner ensures the confidentiality of its login credentials and the accuracy of the information in its profile. It informs Angevo without delay of any suspected unauthorised use of its account. It is responsible for the operations carried out using its account, except for unauthorised use not attributable to it.

Article 4. Economic terms of the partnership

The partnership involves no entry fee, no subscription, no minimum purchase and no minimum volume.

It entails no exclusivity, either for the benefit of the Partner or for the benefit of Angevo. Each party remains free to work with third parties.

Article 5. Respective roles

The Partner does not perform any Angevo service. It must not be confused with the ANGEVO Provider, the only professional working on site.

The Partner's own commercial relationship with its customer, in particular the supply, installation and after-sales service of the window frames, remains entirely its own. Angevo is not a party to it and is not liable for it.

Conversely, the Partner is not a party to the Order placed on the Platform using the Voucher.

Title II — Creation, payment, delivery and follow-up of Vouchers

Article 6. Creation and payment of Vouchers

The Partner creates and pays for each Voucher in the Partner Portal, setting its value in accordance with Article 7 and entering the beneficiary information provided for in Article 10.

Each Voucher is created directly for a specific beneficiary. No Voucher is issued without a beneficiary: the Partner may neither acquire unassigned Vouchers nor build up a stock of Vouchers.

The Partner confirms that each Voucher is intended for a real beneficiary and for a real customer relationship or project. It warrants the accuracy of the information it provides. No signed quote or contractual document needs to be provided systematically. Angevo may, however, request supporting evidence in the event of an error, anomaly, dispute or suspected fraud.

Article 7. Value of the Voucher

The Partner freely sets the value of each Voucher. This value is understood to include all taxes. The normal price of a Voucher corresponds to its face value.

Angevo may set minimum or maximum amounts per Voucher, as well as transaction or control limits depending on the Partner and the circumstances, in particular for reasons of security, fraud prevention or compliance.

Article 8. Prior payment and binding nature

The Voucher is generated only after confirmation of payment by the Partner.

Once payment has been confirmed and the Voucher generated, the order is binding. The Partner may neither cancel it nor obtain a refund of it at its convenience, subject to mandatory legal provisions and to the exceptions expressly provided for in these Terms or in the Customer Terms.

Article 9. Checks

Angevo may subject the Partner's account to verification, apply the limits provided for in Article 7 and temporarily suspend a Voucher or the ability to order in accordance with Article 27, in particular in the event of an anomaly, a payment problem or suspected fraud.

Where a payment has been received but no valid Voucher could be generated, the corresponding sums are returned to the Partner in accordance with the applicable arrangements.

Article 10. Beneficiary, delivery and printable version of the Voucher

When creating the Voucher, the Partner enters the beneficiary's first name, surname, e-mail address and language of communication (French, Dutch or English). No other beneficiary data are requested; in particular, the Partner does not provide any telephone number, postal address or intervention address. The Partner may add its own internal or site reference, which remains specific to the relationship between the Partner and Angevo and does not appear by default on the Voucher, including on its printable version.

After confirmation of payment, the Voucher is generated with its unique code. The Partner chooses one of the following two delivery methods:

  • sending by e-mail: Angevo sends the Voucher to the beneficiary by e-mail, in the chosen language;
  • printable version: the Partner itself downloads the Voucher, prints it and hands it over to the beneficiary. In that case, unless sending by e-mail is subsequently requested, no e-mail containing the Voucher is sent to the beneficiary, who receives the information e-mail provided for in Article 25.

The printable version is a presentation of the ANGEVO Voucher itself and does not constitute a separate document or instrument. It bears a short notice concerning the protection of personal data.

Whatever the delivery method, it is the same Voucher, with the same code. The Partner may subsequently reprint the Voucher or ask Angevo to send it to the beneficiary by e-mail, without a new code being created. Angevo keeps the history of the actions carried out on each Voucher, in particular its creation, its sending and resending by e-mail and the downloads of its printable version.

The Partner Portal does not indicate to the Partner whether the e-mail address entered corresponds to an existing Angevo account.

The Partner ensures that it communicates or hands over the code only to the designated beneficiary.

Article 11. Delivery error and replacement

A sending failure or an incorrect e-mail address does not automatically cancel a paid Voucher and gives no right to an automatic refund.

Where a technical sending failure is confirmed, whether it concerns the e-mail containing the Voucher or the information e-mail provided for in Article 25, Angevo may correct the beneficiary's details and resend the message concerned; the Voucher keeps the same code.

Where the Voucher has been sent or handed over to the wrong recipient, including in its printable version, or where there is a risk that the code has been received by another person, the Partner may request a replacement; it cannot itself invalidate the Voucher. After review, Angevo permanently invalidates the old Voucher, whose record and history are kept, and may generate a replacement Voucher with a new unique code. The replacement does not give rise to any new invoicing and keeps the original expiry date. Any doubt as to receipt is treated as a risk that the code has been compromised.

Article 12. Follow-up of Vouchers in the Partner Portal

For each of its Vouchers, the Partner may consult its reference, the Partner's own file reference if any, the beneficiary's first name and surname, the amount, the status, the delivery method, the dates of creation and of sending or download, and the applicable expiry date. The detailed Voucher record also shows the beneficiary's e-mail address and language, the code, the option to reprint the Voucher or to request that it be sent by e-mail, the redemption date and, where applicable, the history of any invalidation or replacement and the reference of the new Voucher.

The status displayed distinguishes the main cycle of the Voucher described in Article 14 (Available → Reserved → Redeemed) from the other administrative states, in particular expired, suspended or invalidated.

Where the expiry date is changed by Angevo, in particular pursuant to the Customer Terms, only the applicable date is displayed.

Article 13. Characteristics of the Voucher enforceable against the Partner

The Voucher is created for a designated beneficiary, expressed as a value including all taxes, embodied in a unique single-use code, usable only once, on a single Order, and valid for twelve (12) months from its issue, subject to the rules provided for in Article 14.

The ANGEVO Voucher may be used for all services available in the ANGEVO app and performed in Belgium.

The Voucher may only be used on an Order whose total price is at least equal to its value. Where the total price of the Order is lower than the value of the Voucher, the Voucher cannot be used and is not redeemed; the Order must be added to until it reaches at least that value. Any difference between the total price of the Order and the value of the Voucher is borne by the customer. The Voucher cannot be split and generates no remainder, balance or credit.

Before its first use, any person in possession of the code can technically use it. The first valid use of the code makes it unavailable to any other person.

The full arrangements for use, in particular linking to the customer account, application to an Order, any return of the Voucher to Available status and its expiry, are governed by the Customer Terms.

The Partner is informed that a Voucher not used by the end of its validity period gives rise to no refund or compensation in its favour, subject to mandatory legal provisions and to the exceptions provided for in the Customer Terms.

Article 14. Voucher cycle, use and change of beneficiary

The beneficiary is determined when the Voucher is created. A change of beneficiary may only take place by means of the replacement provided for in Article 11 or in the case provided for in the last paragraph of this Article.

The Voucher goes through the following cycle:

  • Available: the Voucher has been issued and can be used;
  • Reserved: upon validation of an Order using it, the Voucher is linked to the customer account concerned and allocated to that Order; it cannot be used for another Order;
  • Redeemed: the Voucher is definitively redeemed as soon as the first service of the Order has actually been performed.

Once linked to the customer account, the Voucher can no longer be transferred to another person. A Voucher Reserved before its expiry date remains valid for the Order concerned, even if that date falls before the performance of the first service.

Where the Order is cancelled before any service has been performed, the Voucher automatically becomes Available again, with the same code; exceptionally, where human verification is genuinely necessary, Angevo may defer this return by no more than three (3) working days. It retains its original expiry date where the remaining validity period exceeds thirty (30) days; otherwise, it has a validity period of thirty (30) days from its return to Available status.

Where at least one service of the Order has been performed, the Voucher remains redeemed. Any adjustments, in particular in the event of cancellation or modification of the remaining services, are handled at Order level, in accordance with the Customer Terms, without any return of the Voucher to Available status and with no remainder.

Where the code has been used by a person other than the designated beneficiary, no new Voucher or refund is automatically due; Angevo examines the situation before taking any decision.

By way of exception, where the designated beneficiary has objected to the processing of their data and Angevo has upheld that objection while the Voucher has never been linked to an account or used, the Partner may request the designation of a new beneficiary. This substitution, subject to review by Angevo, is carried out in accordance with the replacement arrangements provided for in Article 11. It constitutes neither a resale nor a free commercial transfer, gives no right to a refund and keeps the original expiry date.

Article 15. No cancellation or refund for convenience

After issue, the Partner cannot obtain the cancellation, refund or conversion of a Voucher for reasons of convenience, in particular where its commercial relationship with the beneficiary changes.

Mandatory legal provisions and expressly provided exceptions remain unaffected.

Article 16. Prohibition of resale and improper use

The Partner may not resell the Voucher, circulate it, use it as an instrument of payment or set-off vis-à-vis third parties, or make any improper commercial use of it. A change of beneficiary is only possible in the cases provided for in Articles 11 and 14.

Title III — Customer-side process

Article 17. Non-involvement of the Partner

The Partner plays no part in the linking of the Voucher, the Order, the scheduling or the performance of the services.

No notification is sent to the Partner when the Voucher is reserved or redeemed; it can only check its status in the Partner Portal.

Article 18. Limits of the information provided to the Partner

The Partner's follow-up is limited to the status of the Voucher. In particular, the Partner has no access to the customer's address or telephone number, to the existence of an Angevo account, to the identity of the account that used the code, to the details of the services, to the photographs, to the assigned Provider, to the additional amount paid by the customer, to incidents or complaints, or to the customer's other Orders or history.

Where a Reserved Voucher becomes Available again following the cancellation of the Order before any service has been performed, the Partner sees only the current status of the Voucher, without notification, without a reason and without information about the Order.

Article 19. Complaints

Complaints relating to Angevo services, their quality or their performance are handled directly by Angevo with the customer. The Partner does not have to handle them and plays no part in them.

Questions relating to the window frames, their supply, their installation or the Partner's after-sales service fall within the Partner's own relationship with its customer.

Title IV — Invoicing and commercial terms

Article 20. Payment and invoicing

The Partner pays for its Vouchers online, through the payment service provider used by Angevo.

The applicable principle is as follows: payment confirmed, then generation of the Vouchers, then issue of an invoice in accordance with the applicable tax and invoicing rules, including, where applicable, in structured electronic form. The order history can be consulted in the Partner Portal.

The technical arrangements and invoicing formats may change. No particular technical architecture is guaranteed by these Terms.

Article 21. Promotions and special terms

Angevo may occasionally offer discounts, promotions or special commercial terms.

These never constitute an acquired or permanent right of the Partner. They may be limited in time, reserved for certain Partners and governed by a specific offer or agreement.

Title V — ANGEVO brand

Article 22. Authorised use

During the effective term of the partnership, the Partner may refer to its status as an “ANGEVO Partner” on its website, its social media, its quotes and in its showroom.

This use is made only by means of the official elements provided or authorised by Angevo, and only in the context of the partnership. The Partner ceases all use of the brand, the logo and the status of ANGEVO Partner at the end of the partnership or upon Angevo's request. Angevo may request the correction or removal of any non-compliant use. Articles 23 and 24 set out the other applicable rules.

Article 23. Integrity of the logo

The official Angevo logo may under no circumstances be modified, redrawn, recoloured, distorted, adapted or incorporated into another sign.

Article 24. Prohibitions

The following are prohibited in particular:

  • any presentation suggesting an exclusivity that does not exist;
  • any presentation of the Partner as a legal representative, mandatary, agent, agency or establishment of Angevo;
  • any unauthorised promise relating to Angevo's services, results, lead times or prices;
  • the creation of any account, profile or domain name likely to cause confusion with Angevo;
  • any use of the brand, the logo or the status of Partner after the end of the partnership.

Title VI — Personal data

Article 25. Personal data

In connection with the partnership, Angevo processes the identification data of the Partner company and of the account manager (first name, surname, position, professional e-mail address, telephone number and language), as well as the beneficiary data necessary for the creation, delivery and management of the Voucher: first name, surname, e-mail address and language.

The Partner provides only the data strictly necessary for this purpose, in accordance with the data minimisation principle.

The Partner undertakes to inform its customer properly, before the transmission, that their data are communicated to Angevo for the purpose of creating and delivering the Voucher. Angevo also informs the beneficiary that their contact details were provided to it by the Partner:

  • where the Voucher is delivered by e-mail, in the e-mail containing the Voucher;
  • where the Partner chooses the printable version, by a short information e-mail sent automatically to the beneficiary, which does not contain the Voucher, has no commercial or marketing character and refers to Angevo's Privacy Policy. The printable version of the Voucher also bears a short confidentiality notice.

These data are not subject to any automatic marketing use on this basis.

The processing arrangements, retention periods and rights of data subjects are set out in Angevo's Privacy Policy.

Title VII — Duration and end of the relationship

Article 26. Duration and ordinary termination

The partnership is concluded for an indefinite period.

Each party may terminate it at any time, without giving reasons, subject to thirty (30) days' written notice.

Article 27. Temporary suspension

Angevo may temporarily suspend the Partner's access to the Partner Portal or its ability to order new Vouchers for the duration of a verification, in particular in the event of an anomaly, suspected fraud or a necessary check, without terminating the partnership.

The Partner is informed of the measure and the reason for it, save in the event of urgency, serious harm or a legal obligation to the contrary.

Vouchers already validly issued normally remain valid during the suspension, save for a specific measure targeting a Voucher that is itself subject to fraud or an irregularity.

Article 28. Immediate termination for serious breach

Each party may terminate the partnership immediately, without notice, in the event of a serious breach by the other party.

The following in particular constitute a serious breach: fraud or attempted fraud, misuse of the Voucher system, abusive use of the brand or logo, serious breach of the rules on personal data, any unlawful conduct and any serious harm to Angevo's interests or reputation.

Article 29. Effects of the end of the partnership

From the effective end of the partnership, the Partner may no longer order or have new Vouchers generated and immediately ceases all use of the brand, the logo and the status of ANGEVO Partner.

Vouchers already validly paid for and issued remain valid and follow their own terms, in particular their validity period. The beneficiary retains their rights in respect of them.

Sums duly owed before the end of the partnership remain payable.

Article 30. Assignment and change of control

The partnership is entered into on the basis of the Partner's identity. It may not be transferred to another entity without Angevo's prior written consent.

The Partner informs Angevo of any merger, transfer, change of control or transaction likely to affect its identity, legal form or business.

Vouchers already validly paid for and issued are not affected by any such transaction.

Title VIII — Final provisions

Article 31. Liability

Angevo is liable for the generation of the Voucher, its sending by e-mail to the beneficiary where that delivery method is chosen or requested, the provision of its printable version, the sending of the information e-mail provided for in Article 25 and the services it provides itself as operator of the Platform and of the Partner Portal.

The Partner is liable for the accuracy of the data it provides, for handing over the code solely to the designated beneficiary where it downloads or prints the Voucher, for compliance with the rules on the use of the brand, for informing its customer of the transmission of their data, and for its own commercial relationship with that customer.

Angevo is not liable for the physical performance of the services on site, which is the responsibility of the ANGEVO Provider under the conditions set out in the Customer Terms.

Damage covered. Angevo is liable to the Partner for direct and foreseeable damage resulting from a proven breach of its own obligations. To the extent permitted by law, it is not liable for indirect or purely commercial damage, such as loss of profit, loss of opportunity, loss of customers or any other indirect commercial loss.

Cap. Angevo's liability to the Partner, for all harmful events occurring during the same twelve (12) month period, is limited, on a cumulative basis, to the higher of the following two amounts:

  • one thousand euros (EUR 1,000);
  • the total fees and remuneration actually earned by Angevo in the relationship with that Partner during the twelve (12) months preceding the first harmful event of that period.

The value of ANGEVO Vouchers and the sums intended to fund the services do not constitute fees or remuneration earned by Angevo within the meaning of the preceding paragraph. The cap applies globally to the period concerned and not separately to each incident.

Sums and situations outside the cap. The cap does not apply:

  • to sums normally owed to the Partner and to amounts that Angevo must return to it, in particular pursuant to Article 9;
  • to the generation, resending, replacement or return to Available status of a Voucher where these are due in accordance with these Terms or the Customer Terms;
  • to sums unduly collected by Angevo;
  • to damage resulting from wilful misconduct or a serious fault of Angevo's own;
  • to harm to life or physical integrity;
  • to any liability that cannot legally be excluded or limited.

No provision of these Terms excludes or limits the liability of a party in cases where the law prohibits it, in particular in the event of fraud, gross negligence or harm to life or physical integrity.

Article 32. Confidentiality

Each party refrains from disclosing the non-public information of the other party of which it becomes aware in connection with the partnership, in particular special commercial terms and information relating to beneficiaries.

This obligation does not apply to public information, to information already known without any obligation of confidentiality, or to information whose disclosure is required by law or by a competent authority.

This obligation remains applicable for two (2) years after the end of the partnership. By way of exception, trade secrets, access credentials, non-public technical information, information whose confidentiality persists by its nature and personal data remain protected for as long as their confidential nature subsists or the law so requires.

Article 33. Contractual notices

Important communications relating to the partnership, in particular admission, suspension, termination, notices and amendments to these Terms, may validly be sent to the professional contact details provided by the Partner, in particular the professional e-mail address of the account manager.

The Partner keeps these contact details accurate and up to date and informs Angevo of any change.

Article 34. Amendment of these Terms

Angevo may amend these Terms for a legitimate and proportionate reason, in particular to take account of changes to the Platform, the Partner Portal, the services offered or technical, commercial, operational, security, regulatory or legal requirements.

Any substantial amendment is communicated to the Partner with thirty (30) days' notice before it comes into force. An amendment required by a legal, regulatory, security, fraud prevention or compliance obligation may come into force more quickly.

If the Partner disagrees with a substantial amendment, it may terminate the partnership before the new Terms come into force.

The new Terms do not retroactively alter the regime applicable to Vouchers already validly paid for and issued, save where a mandatory legal obligation applies.

Article 35. Languages

These Terms are made available in the languages offered by the Partner Portal. The language version presented to and accepted by the Partner constitutes the version applicable to this relationship. Angevo keeps the identifier of the accepted version and the language of acceptance.

Article 36. Partial invalidity

If any provision of these Terms is declared null, invalid or unenforceable, the other provisions shall remain in full force and effect. The parties shall endeavour to replace the provision concerned with a valid provision of equivalent economic effect.

Article 37. Governing law and jurisdiction

These Terms are governed by Belgian law. Any dispute relating to their validity, interpretation or performance falls within the jurisdiction of the competent courts of the judicial district of Brussels, subject to any applicable mandatory rule of jurisdiction.
