Provider Commercial Terms

Version 1.0 — 1 November 2026

To be read together with the Provider Terms of Use.

Angevo BV — Excelsiorlaan 25, 1930 Zaventem (Belgium) — CBE 1032.536.987 — VAT BE 1032.536.987 — contact@angevo.com

Preamble

These Provider Commercial Terms (the “Commercial Terms”) govern the financial, commercial and operational arrangements applicable to the relationship between Angevo BV (“Angevo”) and any independent professional registered as an ANGEVO Provider (the “Provider”).

They supplement the Provider Terms of Use (the “Provider Terms of Use”) and together with them form the complete contractual framework governing the relationship. In the event of conflict, these Commercial Terms prevail on any financial or commercial matter. The terms defined in the Provider Terms of Use, in particular “Service”, “Order”, “Assignment”, “ANGEVO Partner” and “ANGEVO Voucher”, have the same meaning in these Commercial Terms.

Registration and use of the Platform as a Provider imply full and unconditional acceptance of these Commercial Terms.

Article 1. Purpose

These Commercial Terms govern the principles of the Provider's remuneration, Angevo's commission, the control period, eligibility for payout, the payment schedule and arrangements, any withholdings and set-offs, as well as the financial treatment of certain specific situations relating to the Services.

Article 2. Unit of remuneration: the Service

The Service constitutes the unit of remuneration, validation, control, commission and financial processing.

Each Service included in an Order retains its individual value, expressed including all taxes in the Customer journey. The total price of an Order corresponds to all the Services validated by the Customer.

Where an Order includes several Services, they form a single Assignment, entrusted to a single eligible Provider capable of performing the entire Order, in accordance with Article 9 of the Provider Terms of Use. Financial processing nevertheless remains carried out Service by Service.

Article 3. Angevo's commission

In return for access to the Platform, connection with Customers, use of Angevo's tools, payment processing, operational support and, more generally, the services provided by Angevo to the Provider, Angevo receives a commission of fifteen per cent (15%) calculated on the amount excluding VAT of each Service performed and paid via the Platform.

As the individual value of the Service is expressed including all taxes in the Customer journey, the commission base is obtained by applying the VAT rate applicable to the Service concerned.

Angevo collects the price paid by the Customer, through the Platform's payment service provider, deducts its commission and transfers the balance to the Provider in accordance with these Commercial Terms.

Article 4. Payment fees included in the commission

The fees relating to the payment service provider used by the Platform are built into the economic model of Angevo's commission. They are not invoiced separately or additionally to the Provider for each Service. Any significant change to this rule would be notified in advance under the conditions of Article 20.

Article 5. ANGEVO Voucher and remuneration base

Where an Order is paid in whole or in part by means of an ANGEVO Voucher, that Voucher constitutes a means of payment of the Customer.

The application of a Voucher constitutes neither a discount nor a price reduction. It changes neither the individual value of the Services, nor the Provider's remuneration base, nor the base of Angevo's commission. The Provider is remunerated under the same conditions as if the Customer had paid the full price by another means of payment.

The ANGEVO Partner that funded the Voucher is not a party to the Order or to the relationship between Angevo and the Provider, and plays no part in any financial processing provided for in these Commercial Terms.

Article 6. Cancellation fee in the event of late cancellation, no-show or impossibility of intervention attributable to the Customer

Where Angevo receives from the Customer, in accordance with the Customer Terms, organisation and travel costs because of a late cancellation, the Customer's absence, lack of access where access was required, or any other impossibility of intervention attributable to the Customer, these costs are calculated and allocated as follows.

Amount. The amount of the fee collected from the Customer is equal to the lower of the following two amounts: thirty-five euros (EUR 35 incl. VAT), or fifty per cent (50%) of the amount including all taxes of the unperformed part of the Order.

Allocation. The Provider receives the amount of the fee actually collected, up to a maximum of twenty-five euros (EUR 25). Any balance goes to Angevo, for management, support and organisation costs. The total allocated may not exceed thirty-five euros (EUR 35).

By way of illustration: a fee of EUR 15 goes entirely to the Provider; a fee of EUR 30 is split into EUR 25 for the Provider and EUR 5 for Angevo; a fee of EUR 35 is split into EUR 25 for the Provider and EUR 10 for Angevo.

An impossibility of intervention attributable to the Customer includes in particular the situation in which the Provider does not begin the intervention, interrupts it or leaves the premises because of aggressive, threatening or harassing behaviour by the Customer, or any situation reasonably making the intervention dangerous or impossible because of the Customer, under the conditions of Article 12.

This fee is separate from the commission provided for in Article 3 and is in no case deducted from an ANGEVO Voucher. The Provider's share is due regardless of any subsequent performance of the rescheduled Service, which gives rise to its own remuneration.

This fee applies only where the cause is attributable to the Customer and the Customer Terms actually allow it to be charged to the Customer. It falls under the commercial cancellation policy and is separate from the Customer's statutory right of withdrawal. In particular, it is not due where an intervention is postponed or not carried out solely because the Customer exercises their right to object to the photographic processing.

Article 7. Performed Service and 72-hour control period

A Service is considered performed when it has actually been carried out by the Provider in accordance with the planned conditions and reported as completed via the Platform.

After a Service has been performed, the corresponding amount remains pending for seventy-two (72) hours. This period corresponds to the period within which the Customer may report an apparent defect or damage under the Customer Terms.

In the absence of a complaint, anomaly or ongoing check at the end of this period, the amount automatically becomes eligible for the next payout cycle.

The control period, the commission and eligibility for payout are assessed at the level of each Service, and not at the level of the Order.

Complaints, refunds or chargebacks occurring after eligibility, in particular for a non-apparent defect or damage, are handled in accordance with Articles 10 and 11.

Article 8. Payout schedule and arrangements

Sums that have become eligible are paid out on a weekly cycle. Angevo does not guarantee, at this stage, a specific day of the week.

Where the Platform allows, the Provider may be offered other payout options, subject to technical possibilities, eligibility conditions, the payment service provider's rules and operational or compliance constraints.

Any payout is subject to the absence of a block, serious dispute, suspected fraud, major anomaly or ongoing verification, within the limits of Article 10.

Article 9. Payout method and bank details

Payouts are made by the payment or transfer method set up by Angevo, in particular through the payment service provider used by the Platform.

The Provider undertakes to provide and keep up to date accurate, valid and usable bank details. Angevo cannot be held liable for any delay, failure or impossibility of payout resulting from inaccurate, incomplete or outdated information provided by the Provider.

Article 10. Withholdings and blocks: principle of linking to the Service

Where a complaint, serious dispute, anomaly, refund request, chargeback or verification concerns a specific Service, only the amount relating to that Service may be withheld, deferred or adjusted.

A measure affecting other amounts is only possible where a legitimate reason justifies it, in particular suspected fraud, a systemic anomaly affecting several Services or a legal obligation. Such a measure is proportionate and limited to what is necessary.

Save where impossible, urgent or legally prohibited, the Provider is informed without undue delay and, in principle, no later than two (2) working days after the withholding is put in place, of its existence, its main reason and, as far as possible, the steps being taken to resolve it. The Provider may submit their observations and challenge the withholding under the complaint procedure provided for in Article 25 ter of the Provider Terms of Use. Where the decision was taken or strongly influenced by an automated system, they may also obtain an explanation and request a human review in accordance with Article 25 bis of the Provider Terms of Use. Where it appears that the withholding was based on an error, it is lifted without delay and the amounts concerned are paid out in the next cycle.

Article 11. Set-off and recovery against future payouts

Where a sum is owed by the Provider to Angevo following a refund, chargeback, overpayment, error, adjustment or any other event justifying a regularisation, Angevo may set off that sum against amounts subsequently due to the Provider.

Recovery made on a payout cycle is capped at twenty-five per cent (25%) of the net amount of the weekly payout concerned. Any balance is spread over the following cycles, within the same limits.

This cap does not apply in the event of confirmed fraud, the Provider's express agreement or a legal obligation requiring different treatment.

If the relationship ends or future amounts are insufficient, Angevo may ask the Provider to repay the remaining balance due directly within a reasonable period.

The sums thus recovered are limited to those for which the Provider is legally responsible within the meaning of Article 19 of the Provider Terms of Use. They apply without prejudice to the Provider's insurance cover.

Article 12. Cancellation, refund, reinstatement of a Voucher, correction and exercise of the safety right

Where a Service is cancelled, refunded, rescheduled or compensated in accordance with the Customer Terms, the Provider's remuneration is determined according to the situation actually handled.

No remuneration is due to the Provider for a Service they did not perform, subject to the cancellation fee provided for in Article 6.

Any reinstatement of an ANGEVO Voucher for the benefit of the Customer, as provided for in the Customer Terms, has no effect on the remuneration due to the Provider for the Services they actually performed.

Correction of a performance defect. A touch-up carried out by the Provider, at Angevo's request, to correct a performance defect attributable to them in accordance with Article 12 of the Provider Terms of Use, does not give rise to any additional remuneration.

Exercise of the safety right. Where the Provider does not begin an intervention, interrupts it or leaves the premises for a legitimate reason within the meaning of Article 15 of the Provider Terms of Use, they report and document the situation as far as possible. Angevo verifies the available evidence and takes over the matter with the Customer. The Provider suffers no adverse consequence solely because they legitimately exercised this right. In the event of a dispute, no financial consequence is applied automatically on the sole statement of one party.

Aggressive, threatening or harassing behaviour by the Customer. Where the Provider exercises this right because of aggressive, threatening or harassing behaviour by the Customer, or a situation reasonably making the intervention dangerous or impossible because of the Customer:

  • if no Service of the Order has yet been performed, the situation is considered, after validation by Angevo, as an impossibility of intervention attributable to the Customer. The cancellation fee provided for in Article 6 applies and is allocated in accordance with that Article. It is due regardless of any subsequent rescheduling and is never deducted from an ANGEVO Voucher;
  • if at least one Service of the Order has already been performed, this fee is not added automatically. The rules of Article 13 on partially performed Orders apply and the Provider is remunerated for the Services actually performed.

Serious or repeated behaviour by the Customer may also give rise to separate measures concerning their account, under the conditions provided for in the Customer Terms.

Cause not attributable to the Customer. Where the cause of the interruption or refusal is not attributable to the Customer, in particular in the event of weather conditions, structural danger or any other external circumstance, no cancellation fee is charged to the Customer and the handling of the situation is determined on a case-by-case basis.

Article 13. Partially performed Order

The Provider is remunerated only for the Services actually performed, on the basis of their individual value.

Where an Order is only partially performed, each Service performed follows its own control period, its own commission and its own eligibility for payout. Unperformed Services do not give rise to any remuneration, subject to the cancellation fee provided for in Article 6 where it is actually owed by the Customer.

In accordance with Article 9 of the Provider Terms of Use, as soon as at least one Service of the Order has been performed, the remaining Services can no longer be entrusted to another Provider within the same Order. They are rescheduled with the same Provider where possible; failing that, the Order is closed for the unperformed part and handled in accordance with the Customer Terms by refund or compensation. Any subsequent involvement of another Provider requires a new Order, which gives rise to its own remuneration and its own commission.

The handling of the unperformed part with regard to the Customer does not affect the remuneration of the Services already performed.

Article 14. Financial consequences of a no-show or late withdrawal by the Provider

In the event of the Provider's unjustified absence from an accepted Assignment, unjustified late withdrawal or a serious breach that disrupted the Service, Angevo may claim or set off the amounts directly, reasonably and legally attributable to that breach, in accordance with the liability rules of Article 19 of the Provider Terms of Use.

No goodwill gesture, discount or benefit granted unilaterally by Angevo to a Customer may be passed on to the Provider beyond what meets these three conditions. The Provider is informed of the amount claimed and its basis, may submit their observations and may challenge the claim under the procedure provided for in Article 25 ter of the Provider Terms of Use.

These amounts are recovered within the limits and in accordance with the cap of Article 11. Exercising the right provided for in Article 15 of the Provider Terms of Use constitutes neither a withdrawal nor a breach within the meaning of this Article.

Article 15. Order of application

The amounts due to the Provider are calculated and paid out in the following order: price of the Service, deduction of Angevo's commission, addition where applicable of the Provider's share of the cancellation fee provided for in Article 6, then application of withholdings, set-offs and regularisations within the limits of Articles 10 and 11.

Article 16. Time at which the commission is earned

Angevo's commission is earned on a Service when that Service becomes eligible for payout in accordance with Article 7, subject to adjustments that may result from a cancellation, refund, dispute, suspected fraud, chargeback or any other situation justifying a regularisation.

Article 17. Financial documents and self-billing

Financial relations between Angevo and the Provider give rise to the issue of statements, accounts, supporting documents and invoices, in the structured electronic form required by the applicable invoicing regulations.

Angevo issues invoices in the name and on behalf of the Provider under the self-billing regime, in accordance with the applicable VAT regulations and the Belgian e-invoicing framework. The Provider consents to this under the conditions laid down by those regulations, undertakes to have the technical means necessary to receive and process structured electronic documents, and retains the right to challenge, within a reasonable period, an invoice issued on their behalf. They undertake to report any inaccuracy.

The amounts due, commissions, adjustments, withholdings, set-offs and applicable fees are set out in these documents or in the financial tools made available via the Platform.

Article 18. VAT, taxes and tax obligations of the Provider

The Provider remains solely responsible for complying with their tax, social security, accounting and reporting obligations relating to their activity, including in respect of VAT, invoicing, taxes and contributions.

The Provider warrants that they have, where applicable, a company number, a valid VAT number and any authorisation necessary for the lawful exercise of their activity, and informs Angevo of any change affecting their situation.

Article 19. No guaranteed remuneration, no guaranteed volume and no exclusivity

The Provider's access to the Platform does not guarantee them any minimum volume of Assignments, any minimum turnover, any specific frequency of requests or any minimum remuneration.

The Provider remains free to carry on their professional activity outside the Platform, to build up their own independent clientele and to work with other clients, platforms or principals, subject only to Article 21 of the Provider Terms of Use.

Article 20. Amendment of these Commercial Terms

Angevo may amend these Commercial Terms for a legitimate and proportionate reason, in particular to take account of changes to the Platform, the services offered, payment arrangements or technical, commercial, operational, accounting, tax, regulatory or legal requirements.

Any substantial amendment is communicated to the Provider on a durable medium, subject to a minimum notice period of:

  • thirty (30) days for a substantial amendment;
  • forty-five (45) days where the amendment requires the Provider to make a significant technical, commercial, administrative, accounting or insurance adjustment.

A notice period of more than forty-five (45) days is granted where that period is objectively insufficient to enable the Provider to make the required adjustment.

An amendment imposed by a legal or regulatory obligation or for reasons of security, fraud prevention or compliance may take effect more quickly.

A Provider who does not accept the new terms may close their account before they take effect, without notice and without any adverse consequence. The new terms do not apply retroactively to Assignments already accepted or to Services already performed, save where a mandatory legal or regulatory obligation applies.

Article 21. Amicable dispute resolution

Disputes relating to these Commercial Terms follow the prior amicable dispute resolution procedure provided for in Article 33 of the Provider Terms of Use.

Article 22. Languages

These Commercial Terms are made available in the languages offered by the Platform. The language version presented to and accepted by the Provider constitutes the version applicable to their relationship with Angevo. Angevo retains the identifier of the accepted version and the language of acceptance.

Article 23. Partial invalidity

If any provision of these Commercial Terms is declared null, invalid or unenforceable, the other provisions shall remain in full force and effect. The parties shall endeavour to replace the provision concerned with a valid provision having an equivalent economic effect.

Article 24. Governing law and jurisdiction

These Commercial Terms are governed by Belgian law. Any dispute relating to their validity, interpretation, performance or to any financial relationship between Angevo and the Provider falls within the jurisdiction of the competent courts of the judicial district of Brussels, subject to any applicable mandatory rule of jurisdiction.
